A Partnership Firm is a type of business structure where two or more individuals come together to carry on a business with the intention of earning profits. The partners agree to share the profits, liabilities, and responsibilities of the business. This is governed by the Indian Partnership Act, 1932, or similar legal frameworks in other countries.

Key Features of a Partnership Firm:

  • Partnership Deed:

    • This is a legally binding agreement between the partners that defines the terms of the partnership, such as profit-sharing, responsibilities, and the rights of each partner.

    • The partnership deed can be oral or written, but having a written deed is recommended as it helps avoid disputes later on.

  • Number of Partners:

    • A partnership can be formed by a minimum of two partners and a maximum of 20 partners in India for a non-banking business.

    • For a banking business, the maximum limit of partners is set to 10.

  • Profit and Loss Sharing:

    • The partners agree on how the profits and losses will be shared. This could be in equal proportion or as agreed upon in the partnership deed.

  • Unlimited Liability:

    • One of the main characteristics of a partnership is that the liability of the partners is unlimited. This means that if the business incurs losses or debts, the personal assets of the partners may be used to pay off the liabilities.

  • Management and Control:

    • Each partner has the right to participate in the management of the business unless stated otherwise in the partnership deed.

    • However, in most partnerships, partners have equal rights in managing the business.

  • Duration:

    • A partnership can be for a fixed term or indefinite. The terms of the partnership, such as duration, are typically mentioned in the partnership deed.

  • Transferability of Interest:

    • Partners generally cannot transfer their interest (e.g., their share of profits) to someone else without the consent of all partners.
